Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") form a legal agreement between you and Measurable Media, operator of The Grind Books ("we," "us," "our"). By creating an account, paying for a subscription, or otherwise using thegrindbooks.com or the associated application (collectively, the "Service"), you agree to be bound by these Terms.

If you do not agree, do not use the Service.

2. The Service

The Grind Books is a software application designed for solo contractors and small service businesses. It includes:

• A receipt scanning feature that uses third-party AI (Anthropic Claude) to extract vendor, date, and line-item data from photographs of receipts.
• A job pipeline, ledger, document filing system, and AI-prompt library that runs in your browser.
• An optional "Managed" plan that provides server-side AI processing so you do not need to provide your own Anthropic API key.
• An optional one-time digital product, "The AI Workflow Playbook for Contractors," sold separately via Payhip.

We may add, modify, or discontinue features at our discretion. We will provide reasonable notice for material changes.

3. Your account

You are responsible for keeping your activation link, email address, and any associated access credentials secure. You may not share your account with others or resell access to the Service.

You must be at least 18 years old to use the Service. By using it, you represent that you are a legal adult capable of entering into a binding contract.

The Service is intended for use by business professionals. Personal/consumer use is permitted but not the primary intent.

4. Pricing and billing

4.1 Subscription plans

• DIY plan: $19/month, full access to the application; you provide your own Anthropic API key for receipt scanning.
• Managed plan: $24/month, full access plus server-side AI processing for receipt scanning. No API key required from you.

Subscriptions are billed monthly in advance through our payment processor, Stripe, Inc. Your subscription will automatically renew each month at the same price until cancelled. Prices are in U.S. dollars and do not include applicable taxes, which we may collect on top of the subscription price where required by law.

4.2 Playbook (one-time purchase)

The AI Workflow Playbook is sold as a one-time digital download for $67 USD through Payhip. It is not a subscription. Payment is processed via Payhip's integrated Stripe or PayPal connection.

4.3 Payment failures

If your payment fails, Stripe will retry the charge automatically. After repeated failures, your subscription will be marked past-due and your access to the Managed AI features (receipt scanner) will be suspended until payment is restored. Your locally stored data remains intact during suspension.

4.4 Price changes

We may change our subscription prices for future billing cycles, with at least 30 days' advance notice sent to your email. Continued use after a price change constitutes acceptance of the new price. You may cancel at any time before a price change takes effect.

5. Refund and cancellation policy

5.1 Cancelling your subscription

You may cancel at any time by:

• Using the cancellation option in the application's My Business page, or
• Emailing hello@thegrindbooks.com with the subject "Cancel my subscription."

When you cancel, your subscription remains active until the end of your current billing period. You will not be charged again. Your data, including any cloud backup, remains accessible during this period.

5.2 Refunds, subscriptions

If you cancel within 30 days of your most recent monthly charge and request a refund, we will issue a full refund of that month, no questions asked. Email hello@thegrindbooks.com with the subject "Refund request." Refunds are processed within 5–10 business days back to the original payment method.

Refunds are not available for charges older than 30 days. We do not pro-rate refunds for partial months.

5.3 Refunds. The AI Workflow Playbook

The Playbook is a digital product delivered as a downloadable HTML file. Once delivered, the Playbook is considered "used" and is generally non-refundable. If you have a problem with the file (download failure, corruption, mis-purchase), email us within 14 days of purchase and we will work with you on a fair resolution, which may include a full refund at our discretion.

5.4 Refunds for service failures

If we experience a sustained service outage (more than 72 consecutive hours of complete Receipt Scanner inavailability for the Managed plan), affected Managed customers are eligible for a pro-rated credit upon request. Email hello@thegrindbooks.com.

6. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose.
• Use the Service to process receipts or documents that are not legitimately yours or that you do not have permission to process.
• Reverse engineer, decompile, or attempt to extract our server-side API keys or source code beyond what is freely visible in the open frontend.
• Use automated tools, scrapers, or bots to access the Service beyond ordinary use.
• Attempt to circumvent our rate limits, authentication, or security measures.
• Resell access to your account or use a single subscription to serve multiple unrelated businesses.
• Upload content that is illegal, harmful, infringing, or designed to abuse our AI processing capacity.

We reserve the right to suspend or terminate accounts that violate these terms.

7. Intellectual property

The Grind Books software, the website, our branding, and all related materials are owned by Measurable Media and protected by U.S. and international intellectual property law. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your own business. It does not transfer ownership of any of our intellectual property.

The AI Workflow Playbook is licensed for personal use within your business. You may not resell, redistribute, or share the Playbook file with others outside your business.

8. Your data and content

You retain full ownership of the data you put into the Service, your documents, receipts, ledger entries, business profile, and so on. We claim no ownership over your business data.

You grant us a limited license to store and process your data solely for the purpose of operating the Service for you. This license terminates when your account is deleted.

9. Disclaimer of warranties

The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not guarantee that:

• The Service will be uninterrupted, error-free, or secure.
• AI receipt scanning will produce accurate results in all cases. You are responsible for reviewing scanned data before relying on it for tax, accounting, or legal purposes.
• The Service will be compatible with all browsers or devices.
• Cloud backups will always succeed or be available.

10. Limitation of liability

To the maximum extent permitted by law, in no event shall Measurable Media, its founders, employees, agents, or affiliates be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, or business opportunity arising from your use or inability to use the Service.
• Errors, inaccuracies, or omissions in AI-generated content (including scanned receipt data and AI prompt output).
• Tax, accounting, or legal consequences of relying on data produced by the Service.

Our total aggregate liability to you for any claim arising out of these Terms or the Service shall not exceed the greater of (a) the total amount you paid us in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Measurable Media from any claims, damages, liabilities, or expenses (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any rights of another party.

12. Termination

You may terminate your account at any time via the cancellation flow described in Section 5.1.

We may suspend or terminate your account at our discretion if you violate these Terms, if your subscription payment fails repeatedly, if we suspect fraud, or if continued service to you would create unreasonable risk for us or other customers. Where reasonable, we will provide advance notice and the opportunity to cure.

Upon termination, your right to use the Service ends. We will retain your account data per the schedule in our Privacy Policy.

13. Governing law

These Terms are governed by the laws of the State of Colorado, United States, without regard to its conflict-of-laws principles. Any dispute arising out of these Terms or the Service shall be resolved exclusively in the state or federal courts located in Colorado, and you consent to personal jurisdiction in those courts.

14. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated by email to active subscribers at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance. If you do not agree with a change, you may cancel before it takes effect for a full refund of any prepaid amount covering periods after the change.
